Terms & Conditions

These terms apply to every quotation, order confirmation, invoice and delivery issued by Velonex Chemicals, unless we have agreed different terms with you in writing. They override any terms you send us, including any printed on your purchase order, unless we have expressly accepted them in writing.

Our business is business-to-business. We supply to companies, firms and other organisations, not to consumers.

Velonex Chemicals is a chemical trading and distribution business based at Plot no.59, Thanikachalam Nagar, Vadaperumbakkam, Redhills, Chennai-600060, Tamil Nadu, India, run by Akash R. We source industrial and specialty chemicals from established manufacturers and supply them onward to plants and businesses. We do not manufacture the chemicals we sell.

This website and its content are provided for general information about our products and services. Product descriptions, images, specifications and category listings are indicative only and do not form part of any contract until confirmed in a quotation or order confirmation.

• You may not use the website in any way that is unlawful, or that could damage, disable or impair it.
• You may not attempt to gain unauthorised access to the website, its server, or any connected system.
• We may change, suspend or withdraw any part of the website at any time without notice.

Quotations are valid for the period stated on them, or for 7 days if no period is stated, and may be withdrawn or revised before you accept them. Prices are quoted in Indian Rupees (INR).

• Unless stated otherwise, prices are exclusive of GST, packaging, freight, transit insurance, loading or unloading charges, and any other taxes or levies, which are added to the invoice.
• Prices are based on costs at the date of quotation. Where the cost of raw material, packaging, transport, duties or taxes changes before dispatch, we may adjust the price after telling you.
• Prices depend on the quantity, grade and packaging quoted. Changes to any of these may change the price.

Your order is an offer to buy. A binding contract is formed only when we confirm the order in writing (including by WhatsApp or email) or, if earlier, when we dispatch the goods.

We may decline or cancel an order before dispatch, including where the goods are unavailable, where there has been a pricing or description error, where required documentation or licences are missing, or where we have concerns about intended use, safety or creditworthiness. If you have already paid for an order we cannot fulfil, we will refund the amount paid for that order.

• Unless we have agreed credit terms with you in writing, payment is due in full before dispatch.
• Where credit terms are agreed, payment is due within the agreed number of days from the invoice date.
• Payment must be made in full without deduction, set-off or counterclaim.
• We may charge interest on overdue amounts and suspend further supply until your account is settled.
• Goods remain our property until we have received payment in full (see Delivery, risk & title).

Delivery dates and timelines — including "24 hours within Chennai" and "2 to 3 days beyond" — are good-faith estimates, not guarantees, and time is not of the essence unless agreed in writing. We are not liable for delays caused by transporters, suppliers, weather, or events outside our reasonable control.

• Risk in the goods passes to you on delivery to your nominated address or carrier, or when the goods are made available for collection.
• Title in the goods passes to you only when we have received payment in full for that order and any other amount you owe us.
• You are responsible for providing safe, lawful and accessible premises for unloading, and for having suitably trained personnel and equipment available.
• If you fail to take delivery, we may charge reasonable storage, re-delivery and demurrage costs.

We supply, with each order, batch-specific documentation obtained from the manufacturer for the batch you receive, including the Certificate of Analysis (COA) and Material Safety Data Sheet (MSDS), pinned to your invoice.

It is your responsibility to confirm, before ordering, that the product, grade, concentration, purity and packaging are suitable for your intended process and application. Advice or specifications we provide are given in good faith but do not remove your responsibility to carry out your own assessment and testing.

Many products we supply are hazardous. Once risk has passed to you, you are responsible for their safe receipt, handling, storage, use, and disposal.

• Read and follow the MSDS and all applicable safety, transport, environmental and labour laws.
• Ensure that everyone handling the product is trained and equipped with appropriate protective equipment.
• Do not re-sell, decant or re-label the product in a way that removes or alters manufacturer safety information.
• Hold and maintain any licences, registrations or permissions required to buy, store or use the product.

You must inspect the goods on delivery. Any shortage, visible damage, or wrong item must be noted on the delivery document at the time of delivery and reported to us in writing within 3 days. Any other claim relating to the goods must be reported in writing within 7 days of delivery.

You must give us a fair opportunity to inspect the goods and investigate the claim, and you must not use, process, mix or alter the goods in question in the meantime. Claims raised after these periods, or after the goods have been used or processed, may not be accepted.

• Chemicals that have left our custody cannot generally be returned for safety and traceability reasons, unless the return is due to our error or a confirmed defect.
• Any return must be authorised by us in advance and shipped in the original, unopened, undamaged packaging.
• Orders cancelled by you after confirmation but before dispatch may be subject to reasonable charges for costs already incurred, including sourcing, handling and restocking.
• Special-order, custom-packed or non-stock items cannot be cancelled once we have placed the order with our supplier.

We warrant that, at the time risk passes to you, the goods will materially conform to the manufacturer's specification for the batch supplied. Our sole obligation for goods that do not conform is, at our option, to replace them or refund the price paid for them.

To the fullest extent permitted by law:

• All other warranties, conditions and terms, whether express or implied by statute or otherwise, are excluded.
• We are not liable for any indirect or consequential loss, or for loss of profit, production, contracts, goodwill or business.
• Our total liability arising out of or in connection with any order, whether in contract, tort (including negligence) or otherwise, is limited to the price paid for that order.
• Nothing in these terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence or for fraud.

We are not liable for any failure or delay in performing our obligations caused by events outside our reasonable control, including supplier failure, transport disruption, shortage of materials, fire, flood, extreme weather, epidemic, strike, civil unrest, or any act of government or regulatory authority. If such an event continues for more than 30 days, either party may cancel the affected order.

All content on this website, including text, layout, graphics, logos and the "Velonex Chemicals" name, is owned by us or our licensors and is protected by law. You may not copy, reproduce or reuse it for commercial purposes without our written permission. Manufacturer names and trademarks referred to on this site belong to their respective owners and are used only to identify the products we distribute.

These terms and any dispute arising out of or in connection with them or any order are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction, subject to any agreement between the parties to refer a dispute to arbitration.

We may update these Terms & Conditions from time to time. The version in force is the one published on this page at the date of your quotation or order. When we make changes, we will revise the "Last updated" date at the top of this page.
